I have 2 ME pcs (one an upgrade one clean)
that both do not shutdown..when you pick shutdown you briefly see "safe to shutdown" but then it immediately reboots itself.
I tried to find an answer at MS but couldn't find and in a big hurry..
any help appreciated much!

FYI: I found that if i do "setup defaults" in the bios it does this, but if I do 'bios defaults" it doesn't...however this is not a fix and I saw after this a few other posts but no real fix...so hopefully one comes up...

The McAfee online virus app does this...
Try disabling all your tsr's and stuff with MSConfig and see if it shuts down. If so turn them back on one at a time until you find the culprit. I've seen AV apps, Palm Hotlink, and a few others that turned out to be the problem.

I don't know what kind of motherboard you have but I found on a Gigabyte motherboard if you go into BIOS under power management, and disable PME event wakeup Me shuts down fine, if enabled it just reboots. :( :( :(
