Reboot the computer into safe mode and try to run the utilities that way. If the problem persists, check for virus activity.

when running defrag, anytime you do anything that access the hard disk, defrag will restart. delete files, restart, swap file increases, it restarts, open a program, it restarts.

So kill any open applications, run the defrag, then don't touch! let it run through. If you still have issues, you may want to invest in a third party program that will allow you to defrag, even if the drive is being access, Diskeeper being one.

Going into safe mode to defrag is also a good idea...

screensavers, antivirus software, and all those nice little systray utils also upset defrag and scandisk.

If you are getting the message "Scandisk has started and stopped 10 times...etc Do you want to continue to receive this message?" It is not necessarily an error. On about 20-25 percent of machines I get that message even in safe mode. If you want an easier way to defrag and are using win98 try this:
There is a file on Win98 disk called defrag.inf in X:\Win98\tools\mtsutil
right click it then select install it will place an entry in the registry under runonce. When you reboot the machine defrag will run before any programs or TSR's. This reduces defrag time big time. Or else download the free version of Diskeeper called Diskeeper Lite from
here (http://diskeeper.com/downloads/menu.asp) Choose the Diskeeper Lite Freeware.

I have had this problem in the past with certain computers (Win9x). Diasabled everything I know of - still would restart or take hours to run - even in safe mode. Now I always boot up to DOS (F8 during bootup - choose DOS) and run scandisk. This speeds everything up since I know no programs are running.

BTW, the last time I had a problem like the one you're describing with Scandisk it was because I left the computer on over the weekend and wasn't there.

If you're going to be away from it for more than 24 hrs. the computer should be turned off.:)

What A.V. are you using ? EZtrust from CAI was having this effect on Windows a while back , but the new version corrected the problem , something to do with the real time scanner if I remember right.
