OK, I"m stumped-boot problem

Here's a little background...
ECS K7S5A mobo w/ 1 GB pc133 micron ram
AMD XP 2000 processor
ATI AGP video
creative SB Live
Win XP home
While using my system, it would sometimes hang on me. IfI reboot, it would go, then hang--eachtime hanging sooner...seemed like an overheating of the cpu problem because if I shut down for 30 minutes or so, it would boot up ok. I figured I fried the proc, so I bought a new one. Well, installed the new proc with a quality heat sink and fan, but so post or boot still. When I first turned the system on with the new proc, I got the post screen, but at the bottom it said cmos battery low, hit f1 for setup or f2 for default settings, but the machine had froze there. I re-booted, but now have nothing, no video, zip! I installed a PCI video card, but still nothing. It's a new system, only about 30 days old. Did I cook the mobo? or could it be a PSU problem? All the fans and drives work. I don't get any beep errors, and the CD and DVD drive lights go on-off on off and the HD light just stays lit. Anyone have an idea? the psu is a duro ? 400W that came w/ the system. I'll be here all night for your trouble shooting pleasure--heck, it;s only Christmas eve!
