My question is , Can i Upgrade Vista Home Premium that came installed in my HP laptop (so i think it is OEM) to Win7 Ultimate with the upgrade OS dvd ?
Or i must have a full version of OS ?

Yes you can, it's only windows xp that will wipe the drive out and start from scratch with the Win7 Upgrade disk.
Subah, the easiest way to do this is by using Windows Anytime Upgrade. You should see it near the top of the program list if you click Start then All Programs. If it doesn't show up, you can click Start, and type it into the Search Box.
You can buy the upgrade online and complete the upgrade in about 10 minutes or so using Windows Anytime Upgrade. Your new product key just unlocks and installs files that are already installed on your computer.
Edit: You can only upgrade a 32 bit Home Premium to 32 Bit Ultimate, and 64 Bit Home Premium to 64 Bit Ultimate without a clean install. So you would need the physical media to go from 32 to 64 bit versions. You can't do it via Anytime Upgrade.
