    The problem is caused by a program or driver that is running in the background when windows is shutting down. This program/drivers can be video driver, sound driver, mouse drivers ect. If your have office 9X installed Fastfind can also corrupt a driver/program and cause this problem. Start by looking in the task manger and see what is running for programs. One by one uninstall and reinstall these program. Next reinstall the drivers for you video, sound driver that are not using the driver shipped with windows. If this does not clean up the problem you may have to manual remove driver and programs. This is not fun I have spent up to 8 hours stripping windows and reinstalling.
