PROS:
Most stable version of Windows yet.
Pure 32-bit kernel and drivers.
About 25% faster than 98.
Requires username and password to log on.
You can control access to sensitive files.
Built-in seamless file encryption and compression.
Automatic repair of damaged system files.
Immune to many viruses.
Plug & Play.
DVD, USB, and Firewire support.
Supports DirectX 7 & 8.
Has a command line recovery mode.
All programs run in seperate memory space.
CONS:
Huge (1G minimum free space!).
Complicated install.
Requires careful administration.
Easily broken through incompetent administration.
Encrypted files difficult or impossible to recover if key is lost.
Boot process longer than 98.
Incompatible with all DOS games.
Incompatible with some Windows 9x games.
No/Limited support for older hardware.
Cannot boot into a true DOS mode.
NTFS incompatible with DOS boot disks.
Fairly high hardware requirements.
I think that's most of them....
