This may be a virus!
And norton isn't picking it up. This is what I had and why I got rid of PCCillin.

Now, I think sysupd.exe may actually be something else, possibly related to windows media player but, F-Secure detected it as a trojan and media player had stopped launching as it should.

the file name: sysupd.exe is a virus that brings the systems virtual mem to a low almost non functional state. the application also appears tyo open a connection for pehaps hackers or spy ware. i found this program had left a trail of entries in HKEY_current_user,software/sysupd
the key contains a list of binary strings which hold information about the sysupd 's activities. remove this string as it declares a open onnection on your computer for hackers to attack.
if you have the virus please contact me and i will asist you in removal of the virus.

Yep, I had the exact same problem as isean had. Only FSecure saw it as a virus..

As much as I used to like Norton antivirus, I would say dump the Norton products, I find NAV to take a long time to load under XP
If you want to use the utilities I would remove system doctor, ghost and any other program that runs in the back ground
I am using Symantec anitviruse corporate edition, It is faster on load up and one update after install gets you right up to date unlike running live update for the consumer edition several times
AVG is good, even their free software, I had issues getting updates from their server but I herd that has been adressed
Go to www.tweakxp.com for tips on getting your system tuned up , be prepared to work in your registery

The question comes down to which will take longer doesn't it? You can look and tweak and still get nowhere so I'd go for a re-install straight away.
When I get these in I usually dread them as you know you will re-install in the end but you don't want to be beaten so you spend just a bit longer....
On an XP machine, Systemworks adds little to the party. I'd use the anti-virus only.
if you've a means of backing up you should lose nothing and will get your machine back. Good Luck

take off rundll32 u dont really need it,, and it maybe the prblem...

Download a trial version of
www.nod32.com
run that, it may pick up some trojans that NAV doesn't find. make sure to set up nod32 for deep scan when its configured.
I think the problem is either an ID10T or PEBCAK error

Try psexplorer from http://www.sysinternals.com
Use it to kill all of the processes that are taking up a large amount of processor useage. Note the ones that increase performance when it's killed and remove that file(s) from startup.
