I have the 256mb Cruzer Mini Sandisk, and have used it with 98SE, 2000 (except Datacenter) and XP. Typically, when I have seen that message up, there is either a directory of the Sandisk or application running from the Sandisk is culprit.
Make sure that all windows/apps referring to the Sandisk are closed.
If you left click on the 'disconnect' icon at the clock, then click on the 'Stop...' bar, you usually can 'disconnect' quicker.
If all else fails, you can unplug the Sandisk as long as the light isn't flashing, and only get a warning message. If the light is flashing, I would recommend trying to shut down the computer and remove it while the computer is off.
I've seen what you describe happen before (shutting down) on a compaq on the first insertion of the sandisk, but I forgot to install the drivers first (running Win98)!
