make sure you have good memory...you have other pieces you can try or can you test what you got like on another machine...if memory passes then move on to other stuff power supply, cpu and video card. If your componets work on another machine then its your mother board

MMM cmos pin is in the right position as many mobos ship with them in wrong position ie positioned as you would to clear cmos (its just a thought)

'The only way to update the BIOS is to borrow an older single core processor from somebody else. A local assembly shop is your best bet, if you are lucky enough to live near one. If you don't, then try and hassle Asus customer support until they send you a replacement bios chip.'
I got this from the P5WD2 mobo page at Asus forums - many people having this problem with mobo's which come ready for one series of cpu (single processor HT and non-HT).
If you ordered/bought the components from a shop nearby, they should have flashed the bios for you.
If you ordered on-line from someone, different story.

what have i done wrong
all's well that ends well!........got a CPU from a friend..intel Pentium D 820. MOBO is working fine now.... my thanks to ALL of you for your advice and input, very much appreciated.
hmmmm, now, if i could only remember how to flash the BIOS. Ha!

The P5WD2 is supposed to support 65nm Pentium D processors, however the basic bios supports 90nm processors like the Intel 560, 660 or 820 while newer bios is required for 65nm cpu's like the 600 eries Extreme Editions or the 920-960 series.
