eVGA PCI-E card cause stop on startup

i bought a eVGA e-Geforce 7300GS w/ HDTV PCI-E, and when i placed it into my motherboard and booted it up, i got to the WinXP logo. At the logo, before the bar starts moving, i get a half a second stop error then a black screen and it restarts. when i put back the old video card (pci) it works fine when the pci-e card is OUT. any idea whats the problem?

    heres a little info
    it requires 300w+ power, i got 350
    i have a gigabyte ga-8i945p-g motherboard with intel pentium d 820
    1gb ram (2x 512 one pc4200 and one 3200)
    33gb hdd with winxp
    250gb hdd for storage
