Go to intel's site and download the latest driver's for that chipset. Make sure you BIOS is up to date as well.
That should fix it.

Start in safe mode and remove devicewith "!" from device manager, than power down and reboot. Windows should ask for the drivers, insert cd and navigate to the drivers dir., windows should install correct drivers.
Also check the bios, make sure the audio is enabled..

in devise manager , the exlamation point has an eror code make sure its driver ralated and not resource related . also when you go to exclamation point's devises properties
you can click on driver and tell it to update driver , steer it to the cd with the drivers on it , you can possible get the newest drivers from realteks websight , form windrivers links hope it works....

Thanks for the advice..but I tried to reload the drivers from the cd bit windows will not update them and informs me that the ones loaded are the best ones..the error code is 10 which relates to the driver...

i know i tried to explain how to use the feature have disk and choose to install one of these other drivers , you can do this by chooseing not to show compatible hardware but to show all hardware then choose have disk then
again windows will prompt you that you have
the best ones installed choose then to force it to install the drivers you want from the disk you want to install,
bill g's company tried too hard to idiot proof something to prevent people from loading the wrong drivers , i hate this period! i think that their should be a choice made upfront , idiot mode or tech mode , when you go to install devise drivers
it should ask you a funny question and give you a choice a or b , a== idiot b= techie
a question like whats a driver answer a dale earhardt answer b removes stupid exclamation points and make the stupid thing work!
if you fool around with it in the control panel you might get it you can also try this method
open up ad new hard ware tell it other then have disk then choose the corect driver tell it to install it any way and when coflic trouble shooter apears ignore it
/reboot then go to device manager and remove the one with the exclamation point then scroll down to the one you just installed then usually under resources you can choose to set the devises resources manually
this trick works with the aztech 288 modem soundcard /packbell headache where the cards actually detected as a soundblaster pro
when its a aztec s.galaxy pro

Many thanks amc your help was excellent ..although the problem still exists ...is there any way to resolve this if it is resource based problem...your right about mr gates and there should be a choice for both techs and people with a very basic understanding like myself ..who are learning all the time...

if its a resource conflict , there are some settings in youre bios to help that, on some motherboards thats where you first look ,
you can move some resources around down there, find out wich resource its conflicting with and . move one or the others irq /inout mem adress resources etc, also rem out a few of the lines from youre start up files that load the dos drivers to this if all else fails and you dont void a stupid warrenty by cracking the case open go on ebay and by youreself a sound card ive sean aureal vortex2 sound cards for under 15 bucks with the shipping , its a nice cheap high quality card and its pci, most all in wonder mobos only have pci slotz and in the bios as well as a jumper on the mobo, to enable disable
sound card , the avance logic is only known for there cost effective ness, im not nockin it , but i hate beligerant hardware makes me stay there till i win it looses and has to go to work , i usually try scarin the poor thing with a big hammer, just a thought
good luck on youre endevor

AMC again many thanks for your time ,interest
and most of all your assistance...I will try the above..and will see what occurs....update ..have checked for resource conflicts ..there are none ..the specific problem seems to be with " avance AC'97driver for intel 82801aa/ab/ba".. ..if the problem is with bios then how would I alter them...many thanks to all from the uninformed...

you would normally hit the delete key right after the memory stops counting youlle see the lights on the keyboard flash when the bios actuates the keyboard you usually hit it then , its usually del key or f1 or f2 or ctrl+alt+ escape, what i would do is hold down a few keys when the memory still counting so when it actuates the keyboard you will get an error message , like keyboard error hit f1 to continue , f2 to go to setup
i beleive youre problems in the drivers
i know i cant explain it exactly like you need to do , its really tough for me to explain things , wich operating system are you useing its either win98 or me,, some times there is a setup program on the driver cd , just open my computer then right click the cdrom drive and choose explore,
when explorer opens up the contense of the cd look for the corect dir that has the drivers in it and check for a setup program
you might need to install it that way
also who is the actual motherboard maker??
try going to pings sigh
www.wimsbios.com
it will explain alot there on how to find youre exact maker of youre motherboard,
click this to go there now or right click choose open in new windowgo to the motherboard manufactureers web sight and download the corect drivers , chances are slim its in youre bios settings so try not to change them yet , heres what you need to to exatly if you have windows me, its what im on now
iknow i know the bugs you need a can of raid for me,, any way now seriousely , device manager, doubleclick on the exclamation point
item choose update driver, then click on the bottom one that says specify location advanced , click next, then click display a list of drivers you want, then choose nextchoose have disk, click browse it will check youre floppy any way here you need to direct it to the cdrom t,he cdrom where youre drivers are kept for the motherboard
after you select the corect driver you will hit ok , untill you get the warning that
windows detcts the closer match , and the driver youre useing are better bull shirt , there only better because they are microsofts , the thing will say are you sure you want to use this driver , auto checked is no choose yes, than tell me what happens ok, i used to use an s3 virge gx video card
drivers for 98 sucked, any way microsofts motocross madness actually told me that the drivers werent as good as s3 and spit up a link to s3's sight but i used aopens they gave you the direct 3d thrill of 4 megs of vram but it worked 1million times better then 98s drivers,
i eaven played games , choppy but they were written for 8 meg vid cards, hey they atleast played 98 eaven with direct x didnt aork at all ,,
hey dude try this again give me a shout let me know how you make out
thanxz

I Personally downloaded the drivers myself to see what youre talking about , wen you download files they are usually compressed to save space , they dont do anygood in this form you must double click on them , and they should expand, i downloaded the ones for 98se/me/2k, when i extracted the files there is a setup program , so looks like all you need to do is click the setup .exe file
and you should be on youre way , just double click the downloaded file to expand it ,
then brows to the files/folder it creates .
then run setup let me know how this turns out ok , thanxz
