Panda Titanium Antivirus 2005 installing problems!

I have a problem with installing Panda Titanium Antivirus 2005. When the installer starts i get some error messages - the first one says "The following error occured on file C:\WINDOWS\system32\SYSTOOLS.dll" Access Denied (0x5)
the rest says

2nd.-||-system32\Drivers\netids.dll 3rd. -||-Drivers\netflt.sys 4th. System32\pavicp.dll 5th. System32\PavSprot.dll 6th. system32\PavSkre.dll 7th. system32\drivers\cpoint.sys 8th. system32\FwsVpn.dll

The installer keeps going but in the end it says LSP error: Could not get the PAVLSP path. Then "Error Run service PavProt Error number: -3" then Error run service Pavkre Error number: -3.

- It wont work!

Boot into safe mode, and install Panda 2005. Not all installers work while in safe mode but it could fix your problem.

I work with Panda all the time....try removing any reference to any other antivirus..especially Nortons or McAfee...check registry ..startup etc...I have found Panda does not play well with other antiviruses leftover files not uninstalled

i tried safe mode, but i got some run service problems
