Can you get into windows in VGA mode?
What is the actual clock speed and Vcore the CPU is running at?
Try disabling Fast-writes in BIOS. Make sure RAM frequency is set by SPD. Also try setting the mobo in jumper mode, for bus speed and core voltage anyway. If that doesn't work maybe try knocking a few MHz off the FSB as Asus are known to add a few on in manufacturing.
Edit: Are you using 2 video cards?
In BIOS set to detect/initialise PCI video card first.

Found that this mobo has a bad AGP slot
Thats Asus for ya...
This is the second board I got that is bad.. Screw asus, Im going tyan im getting my money back... thanx for help any ways

well Im still trying to get my money back from the campany I got my asus mobo from.
In the mean time I bought a new mobo
AMD762|6P4D DUAL 2466 TYAN RT
TYAN MPX 2466
the one I was ganna get the first time

update, the tyan mobo works great. bad thing the old asus mobo fried my CPU so i need to get another one and send this one back for repair
