win95 puts modem on com2 (IRQ3) but won't give it the resource- have to enter modem again w/ 2nd IRQ-then it works but only w/ both entries (com3 one disabled)

Disable COM 2 in your BIOS. Reboot. Resources should be sorted out.

BIOS has no mention of com ports, only resources on PCIpnp or ISA
Its an internal 56.6 modem, possibly a US ROBOTICS/3COM... The same thing happened to me when I first installed mine. As was mentioned previously. you will have to disable the com port in the BIOS/CMOS. This will work just fine. Another thing about 56.6 modems is that they do not do IRQ sharing.
