Getting a replacement cd may be the way forward if you want to use usb transfer.
There is one download here It is the jlip software bundled with a program called Video Producer which may be the software you were using.
If you change to using firewire capture, you will be able to use most movie making software.
havwe done that. But the pc doesnt "recognise" the camera??

Did you switch the camera on and put a tape in and put it in playback mode?
If not, did you put the SDcard in and set the appropriate mode on the camera?

Yes to both. Connected camera to the pc, put in play mode and nothing.. The cd rom that came with the camera, was , ermmm the cd rom that came with the camera!
The memory card , when I press dowmload on the camera, does download pix.
OK did you download the new jlip with video producer? Was that program you used? Have you phoned JVC to get a new cd?

So the cd is on the way?
