The tool to do it is on the xp cd itself too, as well as 'somewhere' on the M$ site I was too lazy to google ... note the tool is capable of connection to the internet with a connection present & updating itself for any changes they might have made(its worth getting the updated stuff)
Certain kit 'combinations' work fine in 98 but not xp .. its to do with ACPI & how sharing of resources is done 'different' between the two ..
If you can just make an image of your 98 install as it 'before & good' & then if it all goes horribly wrong you can restore to wher you pressumably are now 
You want if you can to do a clean install, not upgrade despite the fact you have to re-install all your apps, it works out better in the long run as the conversion process isn't foolproof
