    probably means Device Loader.
I'd start by ridding your system of things running in the back ground go in to startup and remove the things you don't needing running until you use them.

or ctrl alt delete and end task on one then try shutting down until you find the program at fault.

Read below, I think the same apllies to WinXP:

Windows 2000 Shutdown Process Stops and Error Message Refers to Devldr Program

    --------------------------------------------------------------------------------
The information in this article applies to:

    Microsoft Windows 2000 Professional
    Microsoft Windows 2000 Advanced Server
    Microsoft Windows 2000 Server

    --------------------------------------------------------------------------------

    SYMPTOMS
When you attempt to shut down your computer and then restart it, an error message may report that the Devldr program is not responding. When you click End Now , the shutdown process may stop and the computer may stop responding.

    CAUSE
This behavior can occur because the Creative Labs driver Devldr is not compatible with Windows 2000.

    RESOLUTION
To resolve this behavior, remove the Devldr driver and then disable the Devldr service.
