If you mean that you have files that you want to make into a site - you will need a WEB SERVER program. (they have a passwork protect options).
If you actualy want to Share files and give more access you will need to set up a VPN (Virtual Privet Network) with who ever you want to combine network's with.
The best on the market is VPN1 from Check Point - and there is a Evaluation Version.

Couldn't you do this natively with IIS by disabling anonymous access to the directories you want? I'm not 100% sure if you can, but I'll see what I can come up with.

Use FTP ! Just keep in mind that if you are working on a site created by Front Page, and the server has Front Page extensions, you WILL need to upload, upgrade the site using ONLY Front Page. If you fail to do so, the probabilities of corrupting the site will be very high. Otherwise, just use any FTP tool or program.
If you just want a way to access let's say .. your work station from home or a hotel and folders and files is all you care about, then I strongly recommend using Norton PcAnywhere. Here's a link for it, check it out ...
Norton PcAnywhere

Could you also be asking about Adv. Server's Terminal Services? I hear that does just what you are asking. I FTP would be easier and cheaper though(free). Terminal Services I think is much more powerful and does what you are asking but it came with my Adv. Server, maybe Server too i am not sure.
