You mean he wants to look into all emails processed sent out or received by his employees?

He dosn't intend to look at every email in and out of the company but he does want the ability to see them if he wanted to. I have told him that he should inform his staff that emails will not be private.

Corporate email isn't private to the individual, it is to the company. You are correct that he should inform his staff however. A signed document kept in their HR file would be most desireable.
As far as you question. I can't answer that...

Not sure on this, my old boss used to do it at a company I had worked for. He watched all the techs incoming and out going messages. He had been known to delete personal messages he did not like.
I think the manager will have to be set up as an owner of the mailbox, then he will be able to view the messages in from Exchange. Correct me if I am wrong. Much easier to do in Notes.

Thanks for replies so far. I know how this sounds and I know it can generate strong feelings but in this one instance I know the guy in question and I know he would not be a pesistent voyeur of mail but his CEO would probably want to know that he could keep track of the use of company email

GFI Mail Essentials lets you do this...
Mail monitoring
The mail monitoring feature enables you to keep a central store of the email communications of a particular person or department. Because you can configure the mail to be copied to an email address, all email can be stored in an Exchange or Outlook store, so that you can easily search for email or content.
