Exception code
What is a VXDVFAT(01)0000556D code? I install a new motherboard and now I get these codes , This happen every couple of days, I also get hard lock ups,where I have to cut the power to get out of them.I am hoping that maybe this code that I get will help solve the problem

unfortunately no...
VFAT.VXD is just the file system driver..
but when you said you installed the new motherboard you should have done the following: (do it now)
1. boot to safe mode
2. Open Regedit
3. Find the "Enum" Key under Hkey_Local_Machine\System and delete it
4. search for "noide" in the registry - if you find any delete it.
5. Go to device manager (properties of my computer) and delete all the devices except "Plug and Play BIOS"
6. In the registry (regedit) go to Hkey_Local_Machine\syste\CurrentControlSet\Control \Class and delete all the "0000" and "0001" and so on under each device Subkey (HDC, FDC, Dispaly etc...)
DO NOT delete the "000x" key for "Plug and play BIOS"
close reg edit and reboot. Windows will redetect all your Hardware. Make sure you have any drivers needed..

I have locked up so bad a couple of times that I had to reformat my drive.I done this twice, reloaded my drivers both times, I am going to try a new video card and a new modem to see if this helps. The new motherboard has a build in sound card. so you would think that it should be compatible with the board.I am using a Giga-Byte GA-7ZXR board. I have the latest Bios,and the latest Via 4in1 chip Bios

Check your RAM and PowerSupply as well.

so you reformated - that's good but you should try using Fdisk /mbr
removing the Partition, creating a new one and reformatting...

Ditto That makes sence!
also make SURE your JUMPERS are set correctly on the New Motherboard.
