The only thing I can think of is that the association for REG files in the registry isn't right, and on bootup some REG file is trying to be merged into the registry, but Regedit pops up instead. Might want to run SFC on that machine...

You didn't say start menu..haha...I hate it when stuff hides in there.

Did you also verify in the registry,
HKEY_LOCAL_MACHINE\SOFTWARE\MICROSOFT\WINDOWS\CURR ENTVERSION\RUN
& make sure it's not there?

If the machine is/was hooked up to a network, profiles set up on this machine could be executing Regedit.exe at startup... but that's pretty far fetched
Try the other suggestions first and do a search of the registry for regedit.exe to see if another app is calling it up at startup.

I've seen this many times before. Basically, something in the registry is corupt/missing and windows is having problems dealing with it. (It is automatically restoring an already corrupt registry backup.)
What you need to do, is first BACK EVERYTHING UP! I cannot stress this highly enough. Then, use a boot disk to boot into Dos.
Run Regedit /Restore.
It'll run and give you a choice of usually around 5 different dates. You want to go through and try each date (Preferably one preious to this incident ocuring) intill it solves the problem. The reason you HAVE to backup, is that you are restoring the registry to a previous date, and you never know what you'll lose. Depending on what date you get to work, you'll have to reinstall any programs installed after that perticular date on that file.
