XP Pro Slipstreamed SP2 CD
I finally decided to tackle this and was successful - since I am cheap, I also used ALL freeware.
Here is what I used:
Guide:

CD Burner:

The Guide uses Nero BUT with a little looking around you will find all the necessary settings mentioned in the CDBurnerXP Pro utility.

Next, I will be looking to try and find an understandable guide for a bootable repair CD - I kept failing with the UBCD one.

nlite will slipstream it all for you with minimal interaction and unattended if you like. http://www.nliteos.com/download.html
Use reatogo to make a cd that will allow you to run AV/AS/Burner for file recovery among many other things. Its sweet. http://www.reatogo.de/REATOGO.htm

Further news:
I hadn't tried to actually boot with my 'boot' cd, and it wouldn't. 
I then did some further research and found this site;

and that did the trick for my XPPro Sp2 stream-over SP1 OEM.
When I went to make one for my wife's Dell, I had to use her image file made with Isobuster from her Dell OEM disk (she had XP SP2 already).
Anyway - success!

Odd... I find myself having to slipstream xp home today... teching seems to go that way.... lots of the same problem on the same day.
First slipstream I did was with 2k SP4 and bink's guide.

Well, NOW I can proceed to try and create a bootable virus/trojan hunter and Windows repair CD.
I made one stab at Reatogo and got defeated.

There is also UBCD for windows http://www.ubcd4win.com/downloads.htm and use this forum for assistance if needed http://www.911cd.net/forums//index.php?act=idx
If you need assistance on any of this I can help. Once you figure it out it's simple to do. With reatogo once you have installed it go to the folder and withing it there is a folder called plug ins and within those is a auto help file that will do the work for you. Go to the plug ins you want on your cd and run the auto help files in each. Some of them require you to install the program on your system fist but you can remove it afterwards. UBCD for windows has most all plug ins built right in you will need but you can also get additional pluggins from the forum and they continue to build new ones. The disk I made has several diffent AV, Burning software, disk management tools, password changer tools and many more tools.

You bet and I'll tell you it is the most important tool in my bag. Either one you use also has an updater in it so you can update the virus and spyware defs and make an updated cd for those pc's that won't let the network setup run.

Using UBCD for Windows - starts to boot but fails just after the Windows logo with a BSOD 0000007E error associated with iastor (I did press F6 and was told that Windows had drivers and I said ok - the next time I said 'too bad take these anyway' - got the same error in both cases.
I am running WinXPPro SP2 with AHCI Sata and the UBCD is SP2 XPPro from the same sources I made my (successful) install backup from.
Is there something I missed in configuring my BartPE ? The UBCD site and forums have no mention of this situation and I thought I'd ask here first before asking there.

EDIT: hold the presses - apparently they are working on a 'FIX' over at the UBCD factory - see post #3 ( http://ubcd4win.com/forum/index.php?showtopic=6201 ).

Created a 'nth' one today that ...almost... worked - hahaha!
It loaded ok, but some things I had selected wouldn't run (adaware for one) and as it finished loading I got a language package error.
It ran at least - still gonna muddle with it BUT it isn't a prioroty.
If all else fails, I DO know how to reinstall.
